About Elite AI Broker

Elite AI Broker (hereinafter "Elite", "we", or "the company") is a Miami, Florida-based company operating as a vehicle broker that facilitates competitive negotiation between end customers and affiliated dealers. These Terms of Service govern the use of our website (eliteaibroker.com and subdomains), our AI-assisted conversational tools, and the matching and coordination services we provide.

By using our services, you agree to these terms. If you do not agree, do not use the service.

Licensing (FL Statute 320.27)

Elite AI Broker operates under the regulatory framework of Florida Statute 320.27 ("Motor Vehicle Dealers"). Specifically, Elite acts as a broker-type intermediary, not as a dealer. The legal distinction is important:

  • Elite does not issue titles, final sales contracts, or transfer documents to the Florida Department of Highway Safety and Motor Vehicles (HSMV).
  • Elite does not own physical inventory of vehicles.
  • Elite facilitates the connection between the customer and the affiliated dealer, who is the party responsible for issuing the final DMV paperwork.

Affiliated brokers participating in Elite's network may operate under a VD (Vehicle Dealer-Broker) license, VS (Salesperson) license, or as bird-dog referrers within the limits permitted by 320.27.

Broker role

When you engage Elite's services, the following applies:

  • Competitive negotiation, not auction. We coordinate parallel offers from multiple affiliated dealers for your vehicle of interest. The word "auction" does not apply to our service — we operate a competitive negotiation process that avoids the additional jurisdiction of Florida Statute 468.380+ (auctioneer license).
  • The human broker coordinates with the dealer. Elite's AI tools help qualify your need and pre-arm the proposal, but final negotiations with each dealer go through a licensed human broker.
  • The dealer issues all final legal documents (sales contract, title, registration, taxes).

72-hour signing window

When you accept an offer from a dealer in the Elite system, a 72-hour signing window (3 calendar days) opens from the moment of acceptance. During this window:

  • You have the right to physically present yourself at the dealer and sign the definitive contract.
  • If you need more time, you can request an extension of up to 5 additional days by contacting your broker or info@eliteaibroker.com.
  • If the window expires without a signature and without a requested extension, the offer may lapse and the dealer is free to withdraw the vehicle from the commitment.

Commit fee

Elite charges a commit fee at the moment you select the winning offer of the negotiation process. This fee:

  • Covers the cost of the soft-pull credit (FCRA-compliant), broker coordination, and inventory matching.
  • Has a range of USD 25 to USD 100 depending on the customer's tier and the deal complexity.
  • Is refundable in the following cases:
    • If the dealer cancels the offer within the 72-hour window for reasons not attributable to the customer.
    • If the system fails to present at least one valid offer within the promised time.
    • If the customer revokes consent to AI use or to the soft-pull credit within the first 24 hours and before the match is performed.
  • Is non-refundable if the customer withdraws from the deal after accepting the offer and within the signing window without cause attributable to the dealer or to Elite.

Prohibited use

It is prohibited to use Elite's services for:

  • Any illegal activity under United States federal or state law.
  • Performing credit inquiries without the genuine intent to acquire a vehicle.
  • Impersonating another person.
  • Interfering with the technical operation of Elite's systems (abusive scraping, denial-of-service attacks, reverse engineering of internal prompts, etc.).
  • Reselling, redistributing, or commercially exploiting information obtained via Elite without written authorization.

Dispute resolution

Any dispute arising from these terms or the use of the services will first be attempted to be resolved through informal negotiation by email (info@eliteaibroker.com). If no agreement is reached within 30 calendar days, the parties may resort to:

  1. Voluntary mediation before a certified mediator in the State of Florida.
  2. Binding arbitration under the rules of the American Arbitration Association (AAA), seated in Miami-Dade County, Florida.

You expressly waive the right to participate in class actions against Elite, except where such waiver is prohibited by applicable federal law.

Limitation of liability

To the maximum extent permitted by law:

  • Elite shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the services.
  • Elite's total aggregate liability to you shall not exceed the amount you have paid Elite in the 12 months preceding the event giving rise to the claim.
  • Elite does not guarantee that affiliated dealer offers are always the best in the market, nor that quoted prices are immutable until final signing — the dealer retains the right to adjust prices based on additional information discovered during physical vehicle inspection and the financing process.

Governing law

These terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles. The exclusive jurisdiction for any related judicial action shall be Miami-Dade County, Florida.

Changes to these terms

Elite may update these terms by publishing a new version on this site. Substantive changes will be notified with at least 14 days' advance notice to registered users via email or SMS (subject to your active consent).

Each version is immutably recorded in our internal system (shared.consent_text_versions) for audit.
